        Goodwill is one of the most important issue’s of renting , which has emerged in the contemporary period and was first established in France , and then French law has entered Iran's rights. In 1997, it was recognized by the legislator. This was right before the laws entered into Iran's commercial convention. What was recognized in Iran's laws in the past was the right to business and trade that most of the jurists called to oppose it and declared it a non – religious. Consequently¬ opposition , the Convention on the Trade , which was reflected in the form of goodwill in the writings¬ of jurists, influenced their legal theories for the first time in the framework of the legal Relations Law and the tenant of 1997. Although the law could not be all to goodwill issues. Because the concept of goodwill and its nature is not clear, and at the same time the conditions of realization of the goodwill and the implementation guarantee¬ Failure to comply with these terms and also the right to the third parties is not clear. Also , the goodwill and conditions of realization of the transfer and conformity of it in Iran's free trade and industrial zones have ambiguities.         Build – operate – Transfers (B.O.T.) contract is a contract in which one part of the contract (Investee government) gives the right of construction and operation of an infrastructural project to a consortium including several private entities. In this contract, after constructing and operating the project, the consortium is obliged to transfer the project to the investee government after a specific time. Different governments especially in the underdeveloped countries consider this contract as an effective tool in attracting foreign investment in order to get an effective management to run infrastructural projects. In order to succeed in this method, the investee government should provide legal, economical and political sect for the private investors. In the Iranian legal system, the only existing rule is the rule of encouraging and supporting foreign investors legislated in 2002 in the Expediency Discernment Council in which this contract is briefly briefed. Due to the particular position of the free industrial and commercial zones, this kind of contract can be advantageous for the government in Iran in order to attract foreign investment and have access to the modern technologies. This study attempts to determine the motivations in using B.O.T. contract and the role of such a contract in attracting foreign investment. Besides, in this article attempts have been made in order to investigate the dispossessions of the international investors as well as the ways of solving their problems.. Manuscript profile

        Given the central role of international marketing in the development and success of free trade zones, international marketing managers must have special skills and competencies. The present study aimed to provide a design model and accreditation model for international marketing managers in free trade zones. The present study is an applied-developmental research that has been done by heuristic mixed method. It is also a cross-sectional survey in terms of data collection method and time period. The statistical population of the quality sector includes 23 managers of free trade zones. In a small part, the views of 186 international marketing managers of free trade zones have been used. Data collection tools are semi-structured interview and researcher-made questionnaire. The content analysis method and partial least squares were used to analyze the data. The results show that the competencies of international marketing managers include knowledge, skills, personal characteristics, ability and credibility. Skills competencies include professional skills and interpersonal skills. Knowledge competence includes specialized knowledge, general knowledge and international knowledge. Creditworthiness is divided into two categories: public credit and professional credit. Ability competence includes managerial, marketing and emotional ability. Finally, personal competencies also include moral, personality, and professional characteristics. moral, personality, and and professional characteristics. Manuscript profile
